BLUE SKY LAW IS APPLICABLE TO BONDHOLDERS
WOULD HAVE SAVED THEM THOUSANDS INVESTED IN FREAK LOS ANGELES COMPANY
FACE LIQUIDATION OF CORPORATION AT 50C ON DOLLAR—FELL AMONG SHARKS
Local investors who hold bonds of the National Home and Town Builders Company, 350 South Hill street, Los Angeles, are in position to emulate the example of the man who was thankful for small favors received, for they face impending liquidation of the company at 50 cents on the dollar. The amount of bonds held by local people against this company aggregate nearly sixty thousand dollars, and of this thirty thousand dollars will probably go up as a burnt offering to necessity for enactment of a blue sky law, which will put these wild-cat corporations out of business. A meeting of bondholders of the company was held in Los Angeles on Thursday, when a committee of standing stock nullifies all efforts at advancement, and it has been deemed wise to put the company out of business.
Local people who hold bonds of this company are former stockholders in the Home Investment Company organized here some years ago by Blue Sky Olmstead, and of the Orange County Investment Company, which that gentleman transferred to Santa Ana, when he sought to enlarge the company's business. Owing to his freakish manner of doing business, he was dismissed from the presidency of the company, and the present board of directors immediately squeezed $12,000 of water from his stockholdings. His stock was taken over by Bradford, Smith and others, and his connection with the company terminated. Some months thereafter, stockholders in the company transferred their holdings to the Town Builders Company, taking 7 per cent bonds in lieu of their stock. An examination of the company's books showed it to be a solvent corporation, but subsequent investigations revealed the fact that it was about as rotten a wild-cat concern that ever came down the pike. The present board of directors have given much time to the work of fumigating the concern and purifying its finances so far as in their power lay. So far as can be judged, they have done a commendable work, but the rottenness seems to have been too much, even for

A meeting of bondholders of the company was held in Los Angeles on Thursday, when a committee of three was appointed to take under consideration advisability of terminating its existence. The meeting assembled in response to the following call issued by Joseph P. Smith, secretary of the company:

"To the Bondholders of National Home and Town Builders.
"Sirs: Some very important matters concerning the welfare of the bondholders of the National Home and Town Builders must be considered within the next few days. Therefore, the board of directors of the company deems it advisable to have you meet in the offices of the company at No. 350 South Hill street, Los Angeles, on Thursday, January 16, 1913, at 10 A.M., and you are earnestly requested to be present at that time.

Officers and directors of the company are A. S. Bradford, of Placentia, president; James Cornelius, first vice-president; S. R. Brough, second vice-president; Joseph P. Smith, secretary-treasurer; O. S. Strain, manager, real estate.
It is just to these gentlemen to say they have done everything in their power to purify the company from inherited rottenness, but they have found the task so difficult that the existence of the corporation will probably be terminated. While Orange county investors have paid value of one dollar for stock, more than three hundred thousand shares were held a year ago by original promoters of the company who, so far as a microscopical examination of the books discloses, did not pay a cent for this enormous holding. Two of these men, it is said, held options to purchase each 110,000 shares of stock, at a price said to be one cent per share. They executed their personal notes to the company for payment of this amount, and, if current events be true, they failed to pay the company for this stock. Bondholders will in a few days, receive copies of the committee's report, when it will probably be announced that the best way out of the difficulty besetting the company is to bring its official life to a close. It is said that 50 cents on the dollar will probably be the amount paid bondholders who consider themselves very neatly skinned by the Los Angeles corporation.
Proposed laws now before the legislature will, if passed, make recurrence of this class of rotten speculation impossible. These proposed measures are termed Blue Sky laws. They affect wild-cat corporations which promise investors everything under the blue sky, and which skin them to a frazzle in the end. Already the mails are burdened with literature inveighing against these proposed measures. These letters come from wild-cat sharks, who are even now reaping a rich harvest from gullible and unsophisticated investors' throughout the state. These proposed laws should be passed and placed upon the statute books, and all wild-cat promoters should, if they obtain their just deserts, be placed behind bars.
Orange county has been a prolific field for exploitation on the part of these wildcatters. What with the Home Investment Company, The Orange County Investment Company, the Folding Crate fake, and other wild-cat mining and oil shares, disposed of here it is not too much to sa ythat a quarter of a million dollars has been taken from residents of this county in the past ten years. Promoters take ten per cent commission from these transactions in the beginning, and at the end of the transaction, investors find themselves skinned to a frazzle.

As a result of these two worthies falling out, one of them voluntarily relinquished his stock, being paid a small amount by the directors for his holding. The other fellow still holds his block of 110,000 shares, and it is due to this fact, more than any other one thing, that many of the legitimate stockholders desire to terminate the company's existence.
It also appears that these two men had four dummy directors seated upon a former board, to each one of whom some 25,000 shares of stock had been issued without payment of a dollar. These dummies were forced to deliver up their holdings, and this stock is now in the company's treasury.
Sales of stock were made last year at par, and a number of more fortunate stockholders disposed of their holdings and gracefully withdrew. However, when the chap holding out with 110,000 shares of stock, learned of these transfers, he advertised shares for sale as low as 7 cents. This balked all other attempts at legitimate sales, and the company came finally to a halt. While it holds valuable property and ought, if legitimately managed, to net handsome dividends upon the amount of money invested, this one block of out-

Twenty owners of lots in the Home Builders' tract, just north of the high school at Orange, find themselves in an embarrassing position with a possibility of losing what money they have paid on them. They purchased on contract, making monthly payments. The tract was bought from Clarissa Honey about a year ago by the Home Builders. The tract was also bought on contract and the Home Builders have failed to make good on the payments, and Mrs. Honey has given notice that she will terminate the contract on February 1. The affairs of the Home Builders was brought to the attention of the contract holders by the fact that the city and county taxes on the lots have gone delinquent. An investigation resulted in ascertaining the true conditions.
The regular monthly meeting of the Ladies' Aid Society of the Presbyterian church will be held in the church this (Thursday) afternoon at 2 o'clock. All ladies of the church and congregation are invited. Strangers welcomed.

That a river protection district comprising Anaheim, Fullerton, Garden Grove, Buena Park and Placentia districts will be formed in the near future and the Santa Ana river curbed from its meanderings in the section north of the Olive bridge now seems a matter of little doubt. The matter of forming a protection district has been slumbering for many years, but was recently awakened by the announcement by the Orange county board of supervisors that the contemplated $35,000 concrete Olive bridge would not be touched until steps were taken to insure that the Santa Ana river would have the same channel a year from today as it has at present. Heretofore were Chas. Eygabroad, H. A. Dickel, V. U. Simpson, J. W. Duckworth, H. M. Adams, J. S. Hilend, A. W. Wood, C. E. Chamberlain, Erwin Bayha, J. S. Howard, A. Valjean, and L. R. Abbott. Supervisor Schumacher completed the party and assured the other gentlemen that whatever steps they should take would be met in like kind by the supervisors.

Delegation of Ranchers Confers With Anaheim Boosters—Rural Delivery Extended
Following the inspection of the river by the Anaheim party, its members drove to the Golden State tract and met by appointment a delegation of ranchers of that section to confer about the matter of a road from Richfield through the Golden State tract direct to Anaheim. The Golden State delegation numbered about 20, and these seemed quite pleased that Anaheim merchants should care so much about them that they would drive out to see conditions as they really are. Residents of the Golden State tract have long been in need of a road to Anaheim, as the road to this city is circuitous and traverses private property. The matter has been discussed at board of trade meetings and a strong sentiment has been aroused for construction.

Whether or not there will be a quorum at the annual meeting of stockholders of the Anaheim Union Water Company on Saturday, it is certain the session will be largely attended and will, in all likelihood develop for discussion topics of great interest to irrigators. A new board of directors will be chosen, provided a quorum of stock answers roll call, and if no quorum be present, the board will hold over. All of its present members except Mr. Hale are desirous of continuing their places on the board, and strong opposition will be made on the part of that gentleman's constituents to permitting him to resign. It now seems probable that no quorum will be present although

The supervisors do not wish to spend $35,000 of the people's recently voted bond money for a bridge that is likely to be left high and dry in a few months when the river afflicted like all California streams with the wanderlust, should make a new channel for itself. The supervisors are therefore holding the $35,000 trust and declare that until steps are taken toward curbing the river, construction of the bridge will not be undertaken. The matter is introduced into the discussions of the Anaheim Board of Trade at its session last week by V. U. Simpson, who had received a straight tip from the supervisors that absolutely no work would be undertaken on the bridge until steps were taken for its protection. At that time sentiment in favor of forming a protection district was awakened and much discussion has since been going the rounds in regard to the matter.
Members of the Garden Grove Chamber of Commerce seem to have the idea that the forming of a protection district will tell the prospective investor in this section that the land is subject to floods and is liable to be washed away. Consequently they prefer to leave the matter as it is and not take any steps for protection. The sentiment in other quarters is strongly in favor of the proposed district, especially as the building of the much-needed bridge seems to hang upon river protection. The matter is being brought to the attention of boards of trade and chambers of commerce in the interested sections and strong sentiment is being awakened for the organization of the proposed district. A petition will probably be put in circulation in the near future looking to the calling of an election for voting on the formation of the district. Workers are busy and it is certain action will be commenced soon.

May the river be curbed, the bridge built and the road to the Golden State tract be completed at the earliest possible moment.
Postmaster Duckworth assured the eastside ranchers that so soon as the road through the tract is completed, rural delivery would be extended and ranchers throughout the district served with mail service daily. This announcement was greeted with much enthusiastic endorsement on the part of the Golden State delegation, for mail service for the district has been very inadequate and rural delivery to that section will be welcomed with open arms.

Showing themselves as favoring anything which makes for the betterment of the young men of the city, members of the Anaheim Young Men's Christian Association at a joint meeting of the Board of Directors and Building Committee of that organization held in the Oyster Loaf cafe Thursday evening, voted to inaugurate at once a campaign for raising enough money to complete the contemplated Y. M. C. A. building in Anaheim. The building committee reported on progress made and announced that the contract for erecting the building had been awarded to J. S. They point out that the moment segregation takes place the door to manipulation will be open, and they are fearful that private speculators will come into control of the oil company and operate it to their disadvantage. They make no accusations against present stockholders who favor segregation but they realize that by the expenditure of less than half a million dollars, control of the oil company could be obtained. Inasmuch as they regard the present Amalgamated lease as covering one of the most valuable deposits of oil in the state, they prefer to hold control of the oil output as at present, and will undoubtedly oppose any effort at segregation.
It is also pointed out that should segregation take place oil stock would immediately decline in value, following an attempt to bear the market. The recent decline of Union Oil stock is declared to furnish a parallel case. In this instance the Union Oil Company, one of the strongest corporations in the State, was taken under control by a syndicate of capitalists, who caused a very material depreciation of its values before taking over the company's properties.
A petition has been in circulation in Placentia asking that a new board of directors be elected who will be favorable to segregation, but few signatures have been obtained and it is not thought the petition will be presented to the meeting. If it should be presented, it will undoubtedly cause an animated discussion.
Another topic for discussion will be the recommendation of the board of audit for appointment of a general manager for the company. This plan is favored by some and opposed by others.

The most feasible manner for curbing the river, according to the gentlemen composing the party, is to build a concrete wall for two miles on the west side of the stream north of the bridge, imbedded in the sand six feet and rising to a height of four feet above the surface of the ground. This, however, would cost well up to $50,000 and the expenditure of such a large amount of money will probably not be attempted. The driving of piles for the required distance northward from the bridge is the next best manner for fencing the river and this method of procedure will probably be attempted. The delegation proceeded over the probable route of the row of piling and some discussion was had relative to the proposed improvement. The matter is still under discussion and will probably be taken up at the next meeting of the local board of trade next Monday evening. At this time other interested parties will probably be in attendance to shed some light upon how the matter is looked upon by members of other communities.

Several matters of importance were discussed. The following members of the Board of Directors were elected to officers of the board and the Anaheim Y. M. C. A.: Chas. Eygabroad, president; D. A. Wedel, vice-president; C. A. Worseley, secretary, and A. A. Mills, treasurer. Other members of the board are Wm. McLaughlin, L. O. Culp, L. C. Yeoman, L. A. Evans and Dr. H. A. Johnston.
Officers of the Young Men's cabinet, which has charge of the active work of the association, were elected as follows: E. S. Goble, chairman; Raymond Elliott, vice-chairman; Howard Krause, clerk; L. O. Culp, membership secretary; Lawrence Sutherland, corresponding secretary.
Earl R. Abbey was at a special meeting of stockholders of the Anaheim Motor Company held Wednesday evening made secretary and treasurer of the company, and the working capital of the company was increased $10,000 to finance the Los Angeles and proposed San Diego agencies, and to enable the management to adequately care for the ever-increasing business of the company.

The report of the board of audit, which shows the company's financial standing to be in first class condition will be read and will be open for discussion. The complete report of the board of audit, together with its various recommendations, will be found published in another column of this issue.
The meeting will be probably one of the most interesting ever held by the company. The company's royalties from oil have netted it a large amount. This money will probably be used for carrying on an extensive policy of permanent improvements. Already under way is a five-mile pipe line to increase the supply of water coming to this city, and also to replace open ditches in the northern limits of the district.

Chairman Eygabroad next spoke of the voters of the State and made the remark that he thought the voting population to be the best looking of any State in the Union.
