TWO NEW IRRIGATION BILLS ONE, A TRIFLE OFF COLOR, CALLS FOR OPPOSITION Makes Water Companies Common Carriers, Subject to Management of Boards of Supervisors—Gives Non-Shareholders Rights to Run Water Through Ditches. Two irrigation bills have been introduced in the state legislature affecting water companies which are of vital importance to irrigators in this valley. Copies of these bills have been forwarded here by Assemblyman Melrose, who has asked the opinion of Mr. Keech of Santa Ana upon one, which seems to have a bug in it. Melrose and Keech are closely associated in the litigation between the Anaheim and Santa Ana companies on one side and illegal diverters of water up the river, and the assemblyman is keeping a close watch upon bills of this character. Both men pronounce one of the bills bad. It provides among other things that the board of supervisors may regulate the price at which water shall be distributed to stockholders of an irrigation corporation. The bill proposes to put the companies under this law. Owing to its poor construction its intent is not quite clear, but Mr. Keech sees in it the making of common carriers out of water companies, and therefore subject to the board of supervisors. Both were introduced Jan. 30, 1909, and were referred to the committee on irrigation. No. 947 provides for increasing the capital stock of irrigation corporations, and reads as follows: The People of the State of California, represented in senate and assembly, do enact as follows: Section 1. Corporations organized for the purpose of supplying or delivering water to stockholders in such corporations only, may increase their capital stock and the number of shares therein by resolution adopted corporation, and to have the same livered to him by such corporal at any point along the line of corporations, canals or ditches he may desire the same for use paying to such corporation a reasonable charge for the distribution of, to be fixed as herein provided Where such rates have not been as herein provided until such are fixed such landholders should entitled to have such water delivered to him by such corporation payment to such corporation and one-third times the amountged by such corporation to its stockholders for the same se Sec. 2. This act shall take immediately. In brief, it provides that an corporation distributing water to stockholders must also deliver priated waters to persons of lands which may be irrigated its canals. Corporations organized for the purpose of supplying or delivering water to stockholders in such corporations only, may increase their capital stock and the number of shares therein by resolution adopted by a vote of three-fourths of the whole number of directors in such corporation at a regular meeting and approved by the written assent or assents of the stockholders holding a majority of the issued capital stock in such corporation, which assent must be filed with the secretary of the corporation. The secretary of the corporation must address by mail, postage fully prepaid, a copy of such resolution to each of the stockholders whose names appear upon the company's books at his place of residence, if known, and if not known, then at the place in which the principal place of business of the corporation is situate, which notice shall be so mailed to such stockholders at least thirty days before the certificate hereinafter provided is made, signed, or filed as hereinafter provided, and within that time any stockholder may file with such secretary his dissent in writing. Sec. 2. Upon such increase of capital stock or number of shares being made in accordance with the provisions of section 1 of this act, there shall be made a certificate under the corporate seal and signed by the president and secretary of the corporation and a majority of the directors of such corporation showing a compliance by such corporation with the requirements of section 1 of this act and the amount to which the capital stock or number of shares has been increased, and the total amount of stock represented by the said written assent or assents so filed with the secretary and the total amount of stock represented by the same written dissent or dissents so filed and the certificate shall also state the total number of issued shares of the capital stock of the corporation. Such certificate shall be verified by the oath of the president and secretary of the corporation and filed in the office of the county clerk of the county or city and county where the original articles of incorporation of the corporation acting hereunder are filed and a certified copy thereof, certified by such clerk shall be filed in the office of the secretary of state; and thereupon the capital stock or number of shares or capital stock and Wm: McFadden vs. the superintendent of Los Angeles county in which held that the Anaheim company not a common carrier under which control it now. Tax Collector—$2200 per one deputy nine months at $900 per annum. Treasurer—$1800 per annus deputy at $900 per annum. Recorder—$2500 per annus deputy at $90 per month, two per month each. Auditor—$2000 per annum office help not to exceed $1200 per num. Dist. Attorney—$1200 per annuand one deputy at $1200 per annuass deputy at $1200 per annum, duty 8 months at $60 and eight deputies at $110 per month for months. Superintendent of schools per annum, one deputy at $6 month and necessary travel expenses while visiting schools. Surveyor—$8 per diem wholly employed and necessary eling expenses. Such certificate shall be verified by the oath of the president and secretary of the corporation and filed in the office of the county clerk of the county or city and county where the original articles of incorporation of the corporation acting hereunder are filed and a certified copy thereof, certified by such clerk shall be filed in the office of the secretary of state; and thereupon the capital stock or number of shares or capital stock and number of shares shall be so increased accordingly, and such certificate so filed shall be when such certified copy is so filed, conclusive proof of such increase of capital stock or number of shares and the validity thereof. Sec. 3. This act shall take effect from and after its passage. The other bill, which is really an amendment to the existing law governing water companies, refers to the regulation and control of "appropriated waters." It provides: The People of the State of California, represented in senate and assembly, do enact as follows: Section 1. An act to regulate and control the sale, rental and distribution of appropriated water in this state other than in any city, city and county or town therein, and to secure the rights of way for the conveyance of such water to the places of use. Approved. It is hereby amended by adding thereto a new section to be numbered Section 10½ to read as follows: "Section 10½. Corporations organized for the purpose of supplying and delivering water to their own stockholders only, shall be subject to the provisions of this act, and whenever any person holding lands which may be irrigated by means of canals or systems of any such corporation is the owner of appropriated water either through appropriation by himself or through contract with others who have appropriated water into the canals and ditches of such cor- Dist.
