The practice of walnut men in irrigating their lands and later renting stock to orange men was referred to as an illegal act. On the other hand the practice was upheld by the walnut men. Mr. Sherwood called up the following amendment to the by-laws, introduced at the last annual meeting: WHEREAS, Sec. 1, Art. 1, of the by-laws states that "each share of stock in the A.U.W. company shall represent an acre or fraction of an acre of land," with the plain inference that each block of stock of said company shall be located and used upon land in the district in the proportion of not less than one share of stock to the acre of land; and Whereas, the practice of renting stock as authorized by rule 20 of the rules and regulations of the company, has grown to such proportions as to seriously disturb the just and equitable distribution of the burden of payment of the expenses of the company by enabling those whose land is stocked in a less proportion than is provided for in said Sec. 1, Art. 1, of the by-laws, to make up the deficiency by renting stock for single runs; and WHEREAS, it seems just, equitable and desirable that the principle, interest, intent and purpose of said Sec. 1, Art. 1, of said by-laws be enforced so far as may be possible and expedient. Therefore be it Resolved, that rule 26 of the rules and regulations of the company be rescinded; and that there be enacted in its place the following rule, to-wit: "Water shall be delivered upon stock only upon the tract of land on which it is located, provided however that stockholders owning or leasing two or more tracts of land within the district may use their stock upon any of them, and Resolved, that the operation of said rule be suspended until March 1, 1908." Attorney Melrose said originally the company adhered to the rule of locating stock upon land and selling water upon stock to each particular parcel of land. Latterly the rule had not been lived up to, until at present no one seems to pay any attention to it. Mr. Krick showed from the books that the renting of stock the past run amounted to 400 shares, which increased the length of the run one day. A. T. Pendleton moved, after a lengthy discussion, that it be the sense of the meeting that the rule be adopt- should be deferred until new cheaper. H. H. Hale said he wishes holders to know precisely what stood upon this matter. "If sition to float bonds is voted on said, 'I shall vote for an asses $4 a share each year to pay company's indebtedness. If I want that kind of an assessment support me with your votes.'" Messrs. Sherwood, Gilman, Melrose, Porter, McHale, Crowther, Kellogg and discussed the question, and itally moved by Mr. Chapman, by Mr. McLauchlin, that it sense of the meeting that the refund its indebtedness by bonds in amount of $300,000 not to exceed 6 per cent interest. The motion prevailed unanimid long-continued applause. Mr. Crowther, speaking to all friends during the ensuing conversation, said a creditor company who held its note for recently asked a raise in the rate from 6 to 8 per cent. The pany had his money ready for five minutes. "Shall the company issue 200 of treasury stock at $50 per share apply the proceeds to reduce indebtedness?" H. C. Kellogg thought the company should do so, maintaining the could by little expense increase supply during the period of summer as to meet all requirements He considered the sale of 2000 of stock one of the most advanced things now before the stockhold. However the meeting did not inclined to consider the sale large block of new stock light the question was passed to permit logg to read a report upon the Yorba reservoir, as well as pacity and merits as an adjunct company's irrigating facilities remarks will be found in a column. Mr. Krick gave figures from books showing increased water as follows: In May, 1906, amounted to $3944. In the same ing stock upon land and selling water upon stock to each particular parcel of land. Latterly the rule had not been lived up to, until at present no one seems to pay any attention to it. Mr. Krick showed from the books that the renting of stock the past run amounted to 400 shares, which increased the length of the run one day. A. T. Pendleton moved, after a lengthy discussion, that it be the sense of the meeting that the rule be adopted. The motion was seconded by H. C. Kellogg and others. B. F. Porter stood out against the adoption of the rule, and moved it lay on the table. Mr. Hale, who warmly championed the rule, asked Porter as a personal favor to withdraw his motion to table. The motion to table was temporarily withdrawn, but after a further discussion it was apparent the meeting was not ready for the new rule, and the same was finally laid on the table. "Shall the company issue bonds in the amount of $300,000 to retire call loans?" The chair said the company's indebtedness was $270,000; of this $195,000 was in short-time loans subject to call at any time. He asked whether the stockholders would approve the issue of 20 year bonds to refund the company's indebtedness. B. F. Porter expressed the opinion that the present time was not auspicious for floating a bond issue advantageously. He personally knew where the company could get a considerable amount of money on its note, and he had no doubt the amount could be largely increased if necessary. He thought the question of bonding However the meeting did not inclined to consider, the sale of large block of new stock light, the question was passed to permit logg to read a report upon them, the Yorba reservoir, as well as pacity and merits as an adjunct company’s irrigating facilities remarks will be found in a column.
