The semi-annual meeting of the Editorial Association in Los Angeles last week was one long to be remembered in more ways than one. Tuesday and Wednesday were given up exclusively to business, in which was included the election of new members, revising of the constitution and election of officers for the ensuing year. Thursday the members of the association accepted an invitation from the Redondo Beach Company to visit that rapidly growing resort. The run down was made in an hour, and, after registering, the members were shown through the elegantly appointed hotel. Before lunch the ladies of the party, together with their escorts, invaded the finely appointed billiard room and forever an hour they were inducted into the mysteries of the game. At noon the members marched into the dining-room, where a splendid table, extending almost entirely around the spacious room; literally groaned under its weight of good things. The table was a bed of similar and carnations, artistically arranged and forming a very pretty picture. Mayor Hazard and his charming wife were of the party, and occupied seats of honor next the President of the association. A string band discouraged sweet music from the orchestra balcony. Several toasts were responded to, and after lunch all hands repaired to the ballroom and enjoyed an impromptu hop. The dance floor of the hotel is the finest in Southern California, being inlaid wood, artistically arranged and smooth as glass. The return trip was begun at 4:20, after universal regrets that the day had been so short. In the evening the newly elected President, Colonel Craig of Redlands, banqueted the members at the Nadean. The men was most elaborate, and the wines were excellent. There was a feast of reason and a flow of soul, lasting until midnight, when the meeting of the association was declared ended.
The next meeting of the association will probably be in Arizona, an invitation from the Atlantic and Pacific Railroad being under consideration to that effect. Dr. Booth set this matter right, and is deserving of thanks therefor. Now that this somewhat celebrated case is settled, at least for the present, we hope it will be allowed to rest—at least until such time as the Gabriel's trump of an appeal shall call it into life and court again.
On the first page will be found an interesting letter from L. M. Helt on the necessity for the formation of the State Association of Irrigators, together with other interesting and valuable data. Whatever Mr. Helt has to say upon matters of irrigation will be found of peculiar interest and worthy of perusal. Following his article will be found a copy of the bill to amend the Wright Act. Among the amendments is one to abolish the offices of Collector, Assessor and Treasurer in districts containing 20,000 acres or less. This will consequently not affect our district, as we have 33,000 acres within our borders. Further comment upon both articles is deferred until a future time.
KING KALAKAUA died in San Francisco on Tuesday, aged 54 years. He had been on a pleasure trip to California, and recently passed through Anaheim on a visit to San Diego.
We have been to the editorial "ghost dance," are back, and are ourselves again.

TAXPAYER WRITES TO SAY WHAT HE THINKS ABOUT THE IRRIGATION DISTRICT, THE A. U. W. CO.
AND NEXT SATURDAY'S MEETING.
EDITOR GAZETTE—As at next Saturday's meeting of the Anakeelm Union Water Company the question of its disposal to the Anakeelm Irrigation District will be considered by the stockholders, and very likely most of the time will be wasted by bombastic and flowery speech-makers, who like to hear themselves talk, a few words in your valuable paper will not be amiss.
The amalgamation of the Cajon, Farmers' and Anakeelm Water Company into the Anakeelm Union Water Company was timely, as great news forward. The consolidation of the A. U. W. Co. and the Yorba system is also most timely and a prime necessity. Think no one, who has any knowledge at all of our affairs, can deny this being the case. The question thus lays before us: Can the A. U. W. Co. get control of the Yorba system? If not, it must go, and bring all waters on the north side of the river to be as concied and clear as possible, but this matter belongs of utmost importance to all residents on the north side of the river it is necessary to go into details.

The next meeting of the association will probably be in Arizona, an invitation from the Atlantic and Pacific Railroad being under consideration to that effect. Dr. Booth of the Needles, who tendered the invitation on behalf of the railroad, promises a royal good time, including a visit to the abodes of the ancient cliff dwellers and a trip up the Grand Canyon of the Colorado. The Bazoo man has the floor. Do we go? Well, we should say no.
It is entirely probable that, principally through the efforts of Mr. Henry Kreeger, a best sugar factory may be established in this vicinity. Mr. Krooger has for some time past been in correspondence with the agent of capitalists in France, who desire to build a factory somewhere in Southern California, and he is strongly of the belief that in a short time some person authorized to act in their behalf will be here to see what inducements our people will hold out for the establishment of a factory. What they want is, first, a donation of land for a factory site; second, cheap water power; third, a guarantee that at least 2,600 acres of beets be planted for a number of years. It seems to us that all of these conditions can be easily mot. We understand that a resolution will be offered at the meeting of the Anaheim Union Water Company on Saturday authorizing the Board of Directors to lease water power at a nominal rate to any parties who will undertake this builtling of a sugar beet factory at a point where the water can be utilized after serving its purpose at the factory.
Our remarks about the impropriety of the publication in our esteemed contemporary the Santa Ana Blade of the articles written for the Orange county pamphlet, seem to have stirred up a bit of more or less hair-pulling among our contemporaries at Santa Ana. There is but one way out of it, aud, with customary interdependence, we lead the way. The pamphlet has by the action of the Blade been made a secondary affair, and our contemporary has achieved the prestige of a "scoop" over its slow-going neighbors by the exercise of what looks to us to be something in the nature of a breach of faith—gross, flagrant and inexplicable. Saying which, and meantime indulging the hope that the shameless Blade man will reform before it is too late, we "dismiss the subject" with that dignified, graceful and parapolic sweep of the hand employed so effectually by the Baron in disguise who acts as night clerk at the Nadeau when saluting the belated editors

Co. and the Yorba system is also most timely and a prime thinker than any other company at all of our affairs, can deny this being the case.
The question thus lays before us: Can the A. U. W. Co. get control of the Yorza system? If not, it must go, and the Anaheim Irrigation District, who can do it, and bring all waters on the north side of the river under its control, take its place. Your writer tries to be as concise and clear as possible, but this matter belongs to the utmost importance to all residents on the west side of the river it is necessary to go into details.
The Anaheim Irrigation District has been brought into disrepute by, so to say, bad management and wasteful expenditure of people's money. Is this due to the so-called Wright Act? In a small degree it may be. Does the Act require the employment of such expensive attorneys or counselors? Does it require that the Secretary of Justice should keep records during in the week? Does it require that the Collector should be paid by the month for the whole year? Your writer thinks if the Secretary's office would be open one day a week besides the meeting of the board it would be insufficient. If the Collector was paid a percentage on tax collections it would be better and more judicious. Only these two items would save probably six hundred or seven hundred dollars a year to the district. No taxpayer, I believe, will draw attention to this degree because but what taxpayers have a right to demand is that the district receive proper benefits for their services and the payment therefor.
Your writer is positive that, with proper care and management, the district will be all right, and a benefit to every one. So much as regards the district.
Now let us look to the A. U. W. Co. The formation of the company was a rand step forward, as it set at rest the governmental jurisdiction thereafter companies then existing. And this is about all the good it accomplished from your writer's views and observations. If the making of the shares transferable was an error, it should have shares, as in the Santa Ana water company, not transferable from the land.
The system of delivering water to each individual shareholder's land is destructive to the interest of the company, as it requires keeping in order cost of any director's office thereby to keep clean than sale of water brings to the company, consequently the company is going backward in its financial condition from year to year.
The erection of vast reservoirs, as the increased tillable acreage now requires, cannot be accomplished by the company.
The fact then, as it appears to your writer, is: Last year with a pleniful water supply the Directors of the Anaheim irrigation district shall oversee the A. U. W. Co., particularly so, as Mr. Wilson assured them that it required only a telegram from him to certain parties to effect a sale of bonds of the district. Now the A. U. W. Co. has upper hand. And why should it throw its property away on the district without at least a fair compensation? Would any shareholder be willing to dispose of all rights of the company to any capitalist, even if three thousand dollars must certainly not. The shareholders are the men who have carried out burden of devek plug this garden spot of earth's paradise. The speculators in land who have already doubled their investments in bare land are only ones benefited by a depreciation of company's property. Every shareholder is a looser of from $15 to $15 per share at any rate, even at $12 valuation per share, with preset state of indebtedness; we would have no need for such far-reaching should be based upon This would make about one hundred and sixty-five thousand dollars for the A. U. W. Co.
If the district obtains the franchises, ditches, etc., at that figure, which is about sixty percent of its actual value, will not fit bonds sell at a better price and more readily, when it is shown that its own residents have confidence enough to take bonds. This action would show capitalists that the bonds and interest will be paid by people as diligent as taxapers are then bondholders.
In all enterprises something has to be left to chance. So is selling of the bonds, but there is already a way of whipping the devil around the stump. So it is in this case. Even if after the acquisition of the A. U. W. Co., by the district, bonds should not sell for construction of the reservoirs, there is a way to get over that. Progress is and must be watched more nor less than retregression. The formation of the district has been dear, very dear, to our taxpayers, but even more so is the A. U. W. Co.
There are other points which best cannot be considered here, which almost make it imperative necessary that we must take that system which gives us best protection under laws of the State.
At least gentlemen of both companies give us less lawyers' opinions and lawyers' severely alone.

JUDGE TOWNER writes to us to say that our article printed last week and headed, "Dr. Pfeninger Wine," is misleading as to the law points involved in the case. These points have been somewhat misunderstood, and we therefore feel ourselves under obligations to the Judge for the following explanation:
EDITOR GAZETTE.—In May last Mrs. Pfeninger brought suit against her husband, Dr. Pfeninger, in equity, for an accounting for certain money had and used by him, which she claimed as her separate property.
Soon after, they settled the matters involved in the suit by his conveying her some 54 acres of land. Upon that and other lands there was a mortgage which he had agreed to pay off and cause to be discharged. He then came into court and asked that the suit be dismissed. This she resisted, and after hearing, the court held and decreed that he must first perform his said agreement.
He did so, and then came, and showing satisfaction of the mortgage asked again for the dismissal. She again objected alleging that in the mean time he had undertaken to transfer from the land deeded to her by him, the shares of water stored referred to in your article, and to place them upon his remaining land, and asked the court to hear and determine the question whether he could do so, or whether those shares did or did not pass to her with the land as an appurtenance. This the court refused to do, holding that the question was not properly triable in that proceeding. Dr. Pfeninger having had the mortgage properly satisfied, had fulfilled the condition imposed on him, her suit was dismissed, and the parties were left to seek a determination of the water right in some proper mode.
The independence and general accuracy of the Gazette are commendable, and I hope this may find a place.

Judge Townner has been to some paints to bonds. This action would show capitalists that the bonds and interest will be paid by the people, as eight-tenths of the taxpayers are then bondholders.
In all enterprises something has to be left to chance. So it is the荡物 but there is already a way of whipping the devil around the stump. So it is in this case. Even if after the acquisition of the A. U. W. Co. by the district, bonds should not sell for the construction of the reservoirs, there is a way to get over that. Progress is and must be the watchword. A standstill is not possible and is nothing more nor less than retrogression. The formation of the district has been dear, very deep to our taxpayers; little ever there in U. W. Co. There are other points which best cannot be considered here, which almost make it imperative necessary that we must take that system which gives us the best protection under the laws of State.
At least, gentlemen, directors of both companies, give us less lawyers' opinions and costs. Go in to a business-like manner and let lawyers severally allege.
Your writer would in this connection ask, here all the paper for consideration of theirerty been turned over to the district, as they should be! For four months the attorneys were always ready within eight or ten days to begin proceedings, but nothing of real action materialized. All we heard was once in a while the blame for delay was put upon the engineer or the abstract company, probably a good excuse for dilly-dallying and doing nothing at all. Both railroads have not paid their taxes. Mr. Breslin one of our attorneys, is also attorney for the Southern California Highway, defaulting in the payment of taxes. It certainly was done with his concurrence and his advice. How does this look to our people?
